FRANCHISE AGREEMENT
Between
Lavazza Coffee Center & Barista Mtaani
(Powered by Kenya Coffee School)
and

1. INTRODUCTION
This Franchise Agreement (“Agreement”) is entered into between Lavazza Coffee Center & Barista Mtaani (hereinafter referred to as “the Franchisor”) and __________________________________ (hereinafter referred to as “the Franchisee”).
This agreement outlines the terms under which the Franchisee is granted a non-exclusive right to operate a Lavazza Coffee Center & Barista Mtaani Franchise, under the framework, training, and certification systems provided by Kenya Coffee School (KCS).
2. OBJECTIVE
The objective of this franchise partnership is to expand the reach of coffee and technology education, promote coffee innovation, create employment opportunities, and empower communities through standardized, quality training and digital systems.
3. FRANCHISE FEE STRUCTURE

All payments are to be made directly to Kenya Coffee School / Barista Mtaani Accounts as directed in the official onboarding documents.
4. BRANDING & INTELLECTUAL PROPERTY
The Franchisee will operate under the Lavazza Coffee Center & Barista Mtaani Franchise System, which includes:
- Full use of approved branding, design assets, color schemes, and signage.
- Access to the KCS digital backend, certification systems, and learning portals.
- Permission to use Kenya Coffee School’s official course materials, curricula, and digital badges.
Flexible Branding Option:
The Franchisee may operate using their own business name (e.g., Diamond Hub for Innovation and Technology – DHIT), provided that the partnership line “Powered by Lavazza Coffee Center & Barista Mtaani” is visibly displayed in all official communications, premises, and marketing.
5. FRANCHISOR RESPONSIBILITIES
Lavazza Coffee Center & Barista Mtaani (through Kenya Coffee School) will provide the following:
- Complete Branding Package – Logos, banners, signage, and digital identity materials.
- Complete Curriculum – Coffee and technology-based training programs including:
- Barista Skills
- Coffee Brewing and Roasting
- Coffee Business and Supply Chain Studies
- Digital Marketing & SEO
- Technology Integration in Coffee (IoT, eCommerce, Data Systems)
- Certifications with Digital Badges issued by Kenya Coffee School.
- Access to Frameworks & AST Trainers (Approved Skills Trainers).
- Micro Brewers and Coffee Equipment Guidance (for training and demonstration).
- Ongoing Support – Continuous updates on curriculum, digital tools, SEO support, and franchise coordination.
6. FRANCHISEE RESPONSIBILITIES
The Franchisee agrees to:
- Maintain the integrity, quality, and standards of the Lavazza Coffee Center & Barista Mtaani network.
- Ensure instructors and facilitators are trained or approved by Kenya Coffee School.
- Adhere to the prescribed course structure, branding guidelines, and certification procedures.
- Renew the franchise annually with timely payment of the renewal fee.
- Operate the franchise in compliance with all national and county education, health, and business regulations.
7. TERM AND RENEWAL
- Initial Term: 1 year from the date of signing.
- Renewal: Annually renewable upon payment of KES 250,000 and continued compliance with operational standards.
- Renewal includes access to updated curricula, digital systems, certification privileges, and ongoing support.
8. TERMINATION
The Agreement may be terminated by either party with 30 days’ written notice if:
- Payments are not made as scheduled, or
- Either party breaches the terms of this agreement.
Upon termination, the Franchisee shall cease use of all branding, materials, and digital systems owned by Kenya Coffee School, Lavazza Coffee Center, and Barista Mtaani.
9. CONFIDENTIALITY
All proprietary course materials, training manuals, Digital frameworks, and branding designs, Digital Badges remain the intellectual property of Kenya Coffee School, Barista Mtaani and Lavazza Coffee Center.
The Franchisee shall not copy, resell, or distribute materials without written consent.
10. GOVERNING LAW
This Agreement shall be governed by the Laws of Kenya, and any disputes shall be resolved under the jurisdiction of the Kenyan Courts.
11. SIGNATURES
This Agreement is entered into voluntarily and in good faith on this _____ day of __________, 20.
